Our client, a leading global law practice is seeking a high-performing Corporate / M&A Lawyer with a strong technical foundation, commercial mindset, and demonstrated business development potential. This role is ideal for a lawyer looking to take on greater responsibility, work on sophisticated domestic and cross-border transactions, and contribute to the continued growth of a leading Corporate and M&A practice.

The successful candidate will advise a diverse portfolio of Austrian and international clients on complex corporate, private equity, venture capital, and M&A matters while working closely with multidisciplinary teams across jurisdictions.

Key Responsibilities

  • Advise clients on a broad range of corporate and company law matters.
  • Lead domestic and cross-border M&A transactions, including acquisitions, disposals, joint ventures, and strategic partnerships.
  • Manage legal due diligence processes.
  • Review and negotiate share purchase agreements, investment agreements, shareholders’ agreements, and other transaction documents.
  • Advise on corporate restructurings, reorganisations, mergers, demergers, transformations, and carve-out transactions.
  • Support private equity and venture capital investments, financing rounds, management incentive schemes, and exit transactions.
  • Assist clients with company formation, governance matters, shareholder issues, and board-related matters.
  • Advise on corporate governance and compliance frameworks.
  • Support post-merger integration projects before and after transaction completion.
  • Collaborate with multidisciplinary teams on complex domestic and international projects.
  • Contribute to business development initiatives, client relationship management, and the expansion of the practice.

Candidate Profile

  • Qualified lawyer with 10+ years of post-qualification experience in Corporate and M&A.
  • Commercially minded with a pragmatic, solution-oriented approach.
  • Demonstrated “rainmaker’s” capability or strong potential to generate business and develop client relationships.
  • Excellent analytical, communication, and interpersonal skills.
  • Ability to work effectively in multidisciplinary and international teams.
  • Strong project management and organisational skills.
  • Excellent written and spoken English and German.

This position is suited to an ambitious Corporate / M&A lawyer who is at Senior Manager / Counsel / Partnership track or Partner level and combines strong technical expertise with commercial awareness and is eager to play an active role in developing both client relationships and the firm’s Corporate practice.
