Our client is a full service international law firm growing in stature and prestige, advising local and international clients on various legal matters. The firm seeks senior-level lawyers (with a team welcome) with experience representing banks which would be the focus of this role.   You will be part of a global B&F team, aside from banks they advise on FTSE 200 corporates, mid-market companies, large private businesses and multinationals. In addition to representing banks as the primary clients, you will also service these other businesses providing advice on their internal and external financing,  and how it is structured.  To do so, you should have extensive cross-border transactional experience to enable you to support clients in making and implementing important finance decisions including:

Arranging new bank facilities or refinancing existing ones

  • You will act for lenders and borrowers alike, advising on new facilities and refinancings across a variety of sectors including real estate, hotels, leisure, retail and healthcare.
  • Negotiating and dealing with all security and guarantees, both domestic and cross-border.
  • Documenting financial covenant re-sets and the waiver of covenant breaches.
  • Advising both lenders and borrowers (including private equity funds and management teams) in relation to the funding of leveraged and management buy-outs.
  • Documenting and implementing intra-group lending and support arrangements.

Restructuring/reorganisation related finance advice

  • You will be reviewing of bank facilities and security to identify issues and consent requirements when borrowers are contemplating a reorganisation, disposal or acquisition.
  • Documentation of intra-group loans, corporate bonds, guarantees and security and any amendments, waivers or releases.

The successful candidate will be a Czech-qualified lawyer with at least 10 years of experience working for banks and working for law firms on the panels of banks. He/she should have a broad range of banking and finance experience, including acquisition finance and projects & structured finance, capital market transactions, and regulatory/restructuring.

You must have the ability to communicate with clients in fluent English and Czech.
