Our client is a forward-thinking company operating in the trading industry, with a focus on crypto business, hedge funds, and digital assets. They are seeking an experienced In-House Legal Counsel to join our team and provide comprehensive legal support across all facets of their operations.
Responsibilities:
- Business Transactions and Contracts:
- Review and analyze proposed business deals and transactions to identify legal risks and potential liabilities.
- Draft and review all contracts, including those with clients, suppliers, and other trading parties.
- Advise on regulatory compliance and handle disputes.
- Represent the company in legal proceedings.
- Advisory and Compliance:
- Advise company executives and employees on legal matters, including risk management and compliance with trading regulations.
- Draft legal documents such as memoranda, opinions, and correspondence to support the company’s legal position.
- Conduct legal research on trading laws, regulations, and industry standards, staying abreast of changes affecting the crypto trading industry worldwide.
- Negotiations and External Relations:
- Participate in meetings and negotiations with external parties, such as regulators, counterparties, and legal representatives.
- Manage and oversee outside counsel engaged for specialized legal matters or litigation, including negotiating costs.
- Regulatory Monitoring:
- Monitor legal and regulatory developments in the trading industry and advise the company on necessary adjustments to practices or policies.
- Company Secretary Duties:
- Ensure the company’s compliance with statutory and regulatory requirements.
- Maintain company records, including filing annual returns.
- Communicate complex legal issues clearly to non-legal personnel.
- Policy Development and Training:
- Assist with the development and implementation of corporate policies and procedures to ensure compliance with legal requirements.
- Provide training to employees on legal and compliance issues relevant to their roles in the company.
Must-Haves:
- 10 to 15 years of Post-Qualification Experience (PQE)
- Board-level experience
- Sole legal/general counsel experience
- Financial services experience
- Experience in a startup environment
- Trading industry experience (crypto business, hedge fund, digital assets, or similar)
- Compliance experience
- Regulatory knowledge
Nice to Haves:
- Knowledge of the UAE legal system (to assist with company regulatory filings, compliance needs, etc.)
- Familiarity with UAE regulators
