Our client, a global law firm with a sizable footprint is looking for a passionate M&A Lawyer to join their high performing team. As a part of the M&A team you will advise their clients on all aspects of company acquisitions and sales as well as restructurings.
You will be responsible for a wide range of tasks:
- Work on high-profile transactional (M&A) projects, including: conducting and coordinating comprehensive legal due diligence and drafting and negotiating key transaction documents (SPAs, SHAs, Letters of Intent, Business/Asset Sale Agreements, Investment Agreements),
- Provide day-to-day corporate legal services and strategic consulting to multinational corporations and domestic entrepreneurs,
- Engage with clients by: identifying and resolving legal challenges in ongoing projects, participating in client meetings and developing reorganization strategies, highlighting sensitive areas and ensuring smooth project execution,
- Participate in corporate reorganization processes, offering expertise in corporate and civil law by preparing legal documents for company transformations, mergers, and divisions, drafting civil law contracts and corporate resolutions, supporting registration proceedings and ensuring compliance.
Requirements:
- Polish law degree and bar membership;
- At least 4 years of M&A law experience gained in a law firm;
- Strong time management skills, ability to stay calm under pressure when juggling multiple projects;
- Good knowledge of Commercial and Civil law;
- Excellent drafting skills;
- Fluency in Polish and English is required.
